Terms of Service

These terms of use ("Terms") govern your access to the kairosintelligence.ca web application and to the Kairos browser extension (together, "the Service"), provided by Kairos Intelligence ("Kairos", "we", "us"). By creating an account or using the Service, you accept these Terms.

1. Description of the Service

Kairos is an artificial-intelligence governance tool for agencies and their teams. It comprises a browser extension that assists prompt writing on third-party AI services (approved templates, reusable blocks, frameworks, quality checks, local PII guard) and a web dashboard for managing a prompt library and per-workspace accounts.

The extension pre-fills the input field of supported AI services but never sends a prompt automatically on your behalf: you remain in control of every submission.

2. Accounts

Accounts are generally created and administered by your agency. You are responsible for the accuracy of the information provided, for the confidentiality of your credentials and for any activity carried out under your account. Notify us without delay in the event of unauthorized use.

3. Subscription and payment

Where billing is enabled, access to the Service is offered on a paid subscription basis, processed by our payment provider. Prices, billing frequency and cancellation terms are shown at the time of subscription. Unless otherwise required by applicable law or expressly stated, amounts paid are non-refundable for a period already under way.

4. Acceptable use

You agree not to:

  • use the Service for unlawful purposes or in violation of the rights of others;
  • attempt to circumvent, disable or compromise security measures or data isolation;
  • access another tenant's data (agency or workspace);
  • submit malicious content or disrupt the operation of the Service;
  • resell or exploit the Service without authorization.

5. Intellectual property

The Service, its software and the content provided by Kairos remain the exclusive property of Kairos. You retain full ownership of the content you or your agency create (templates, blocks, frameworks). You grant us a limited license for the sole purpose of operating and providing the Service to you.

6. Third-party AI services and PII guard

The Service interacts with artificial-intelligence services operated by third parties (ChatGPT, Claude, Gemini, Perplexity, Mistral). Kairos is not responsible for those services, their terms, or how they process the content you send them. You remain responsible for what you choose to send.

The PII guard is intended to help you spot personal data before sending. It operates on a best-efforts basis and is not a guarantee of completeness: no automated detection can find every piece of sensitive data. You remain responsible for the final review of your prompts.

7. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranty of any kind, express or implied, in particular as to the absence of errors, continuous availability or fitness for a particular purpose, to the extent permitted by applicable law.

8. Limitation of liability

To the extent permitted by law, Kairos shall not be liable for indirect, incidental or consequential damages (in particular loss of data, profits or goodwill). Kairos's aggregate liability relating to the Service is limited to the amount you paid for the Service during the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify Kairos against any claim arising from your use of the Service in violation of these Terms or of a third party's rights.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access in the event of a breach of these Terms. Upon termination, your right to use the Service ends; provisions that by their nature must survive (intellectual property, disclaimers, limitations) remain in force.

11. Governing law and jurisdiction

These Terms are governed by the laws applicable in the province of Quebec and the laws of Canada applicable therein. Any dispute shall be brought before the courts of the district of Montreal, subject to the rights mandatorily granted to you by law.

12. Changes

We may amend these Terms. The update date appears at the top of the page; in the event of a material change, we will inform you. Continued use of the Service after the changes take effect constitutes acceptance.

13. Miscellaneous

If a provision is held invalid, the others remain applicable. Failure to exercise a right does not constitute a waiver. These Terms, together with the privacy policy, constitute the entire agreement between you and Kairos in relation to the Service.
